JEOL Group Global Code of Conduct

Based on our corporate philosophy, the JEOL Group Global Code of Conduct embodies our management philosophy of "contributing to scientific progress and social development". The Code of Conduct stipulates the basic principles of corporate activities that all our officers and employees must observe, along with the standards of judgment and behavior that must be observed in various situations as the Group conducts its business activities.

1. Relationship with Society

(1) Dealing with entertainment and gifts

Code of conduct We comply with relevant laws and regulations and the internal rules of our business partners when entertaining customers or providing and receiving gifts and only do so within the scope of sound business practices and social common sense when it is necessary for our business activities.
Key points
  • We do not entertain or offer gifts to customers related to improper or unfair requests or treatment. In addition, we do not accept entertainment or gifts in return for improper or unfair requests from other parties.

  • When providing or receiving entertainment or gifts, we report and consult with our superiors and handle the situation carefully.

  • We always act in common sense and avoid doing anything that could be misunderstood. If the entertainment we receive seems beyond common sense, we decline it on the spot.

(2) Banning any relationship with antisocial forces

Code of conduct We take a resolute stance against antisocial forces and organizations that threaten the order and safety of civil society in cooperation with the police, industry groups, and local companies, and have no direct or indirect relationships with them.
Key points
  • We resolutely deal with antisocial forces and organizations and individuals related to antisocial forces, and do not respond to unreasonable demands, have no relationship with antisocial forces or organizations, and do not engage in any transactions.

  • In accordance with the purpose of related laws and regulations, we avoid engaging in antisocial acts that utilize these forces for the benefit of JEOL or ourselves.

(3) Relations with politics and administration

Code of conduct We maintain sound and sincere relationships with public institutions and employees in each country, comply with relevant laws and regulations, and strive to prevent fraud from occurring.
Key points
  • We do not make inappropriate political donations or other payments that violate laws, regulations, or sound business practices and that deviate from accepted social standards, such as offering, promising, or providing bribery or similar undue benefits to government agencies or their employees, political organizations, or politicians, regardless of the form of remuneration, entertainment, gifts, or other payments.

  • We do not engage in any acts that interfere with public bidding, order coordination, any acts related to it, or any acts that raise suspicion of such acts.

(4) Thorough import and export management

Code of conduct We comply with the trade-related laws and regulations of each country when importing and exporting technologies and products. We also ensure that the export of our technologies and products does not lead to the illegal development or manufacture of narcotics, and weapons.
Key points
  • We do not export or import prohibited goods.

  • When exporting goods such as products and parts, and providing technical information for export control, we take appropriate import and export customs clearance procedures in accordance with the export-related laws and regulations of each country and JEOL's rules.

  • In order to prevent use in the development or production of weapons of mass destruction or conventional weapons, we confirm the use of goods and technology and the end customer at the time of the transaction.

(5) Environmental protection

Code of conduct We are always aware of our responsibility to protect the environment, actively and continuously tackle environmental issues, and aim to realize a sustainable society through our products.
Key points
  • We comply with international standards, laws, agreements, guidelines, and voluntary standards related to the environment.

  • We strive to reduce CO2 emissions, conserve water resource, appropriately manage and use chemical substances, reduce the generation of waste, and proactively work to reduce the environmental impact of chemical substances used for our business activities and products through activities such as energy conservation, and provide environmentally friendly products and services to realize a sustainable society.

  • We conduct appropriate assessments to reduce the burden on the environment, evaluate the possibility of the occurrence of environmental problems, and strive to prevent the occurrence of such problems.

  • In the event of an environmental problem, we promptly take appropriate measures to minimize the environmental impact.

  • We disclose information about our environmental activities sufficiently and proactively to the outside world and strive to maintain good communication.

(6) Social contribution

Code of conduct We respect the culture and customs of local communities, promote solidarity, cooperation, and communication, and strive to gain the understanding of the local communities of JEOL's business activities, and fulfill our responsibilities as a member of that community.

  • As a corporate citizen, we actively contribute to society through our business activities and by continuously participating in various social activities from the perspective of building and maintaining good relationships with local communities and promoting coexistence and mutual prosperity.

  • In order to meet the expectations and needs of the market and aim for mutual development with society, we actively communicate with customers, shareholders, business partners, local communities, etc., and conduct corporate activities with fairness, transparency, and trust as the first priority.

2. Customer Relationship

(1) Quality and safety

Code of conduct We recognize that it is our corporate social responsibility to ensure quality and safety in the provision of products and services and prioritize quality and safety throughout the entire product lifecycle, including product development, manufacturing, distribution, sales, and services.
Key points
  • We always strive to develop products and provide services that can be used with peace of mind from the customer's point of view.

  • We provide easy-to-understand indications and explanations, such as quality information and safe usage methods, so that products and services can be used safely.

  • We provide safe and excellent products based on customer needs using the latest and best technologies.

  • In the event that a problem arises in the safety or quality of the products provided to customers, we respond sincerely and promptly, confirm the facts immediately, investigate the cause of the problem, and make thorough efforts to prevent recurrence.

(2) Thorough information management

Code of conduct We appropriately manage and protect confidential information, including customer information, to prevent its leakage.
Key points
  • We comply with information security rules and implement measures to prevent information leakage.

  • We do not permit unauthorized use, private use, or unauthorized access to confidential information.

  • We strictly manage all confidential information such as business information obtained in the course of business in accordance with laws and regulations and strive to prevent its leakage to the outside.

  • We collect, record, manage, use, and dispose of personal information appropriately in accordance with laws and regulations. In addition, we strictly manage the personal information we obtain to prevent loss, falsification, and leakage.

3. Relationships with Competitors and Business Partners

(1) Fair competition

Code of conduct We comply with the competition laws of each country and conduct fair and free transactions.
Key points
  • We do not engage in cartels or bid rigging with peer companies or industry associations. In addition, we do not exchange information such as prices, sales information, or customer information.

  • We build appropriate relationships with our sales agents and sales partners. We do not engage in unfair transactions, such as transactions under conditions that are unreasonably different from those of third parties, or binding on the selling price of delivered goods. We do not acquire or use trade secrets of other companies through improper means.

(2) Appropriate purchasing and procurement

Code of conduct We build good partnerships with our suppliers and vendors, conclude fair contracts, and strive to build mutual understanding and relationships of trust from a long-term perspective.
Key points
  • In selecting suppliers and vendors, in addition to quality and price evaluations, we also evaluate whether they are fulfilling their social responsibilities, such as respect for human rights and compliance with laws and regulations.

  • When purchasing and procuring, we do not use our advantageous position in the transaction to force specific conditions or disadvantages on others, or pursue personal gain.

  • When dealing with suppliers and vendors, we comply with the laws and regulations of each country and conduct fair transactions.

  • When procuring, we do not acquire confidential information about our suppliers or third parties through improper means.

  • We promote green procurement and procure materials with consideration for environmental impact.

(3) Protection of intellectual property

Code of conduct JEOL's intellectual property rights are important corporate assets, and in order to strengthen business competitiveness, we acquire intellectual property rights, strive to protect these rights, and actively utilize them.
Key points
  • We comply with laws and regulations related to intellectual property rights, and obtain information related to intellectual property from third parties by lawful and fair means. In addition, we respect the intellectual property rights of third parties and do not infringe on them.

  • With respect to inventions resulting from manufacturing and development activities, we will promptly file patent applications and take other appropriate measures against infringement by third parties, and strive to protect JEOL's intellectual property rights.

  • We recognize that all intellectual property rights created in connection with JEOL's duties belong to JEOL to the extent permitted by relevant laws and regulations and comply with JEOL's relevant regulations and company instructions in order to appropriately protect and utilize the company's rights.

4. Relationship with Shareholders and Investors

(1) Fair disclosure of corporate information

Code of conduct In order to gain the correct understanding and trust of our stakeholders (customers, shareholders, investors, business partners, and local communities in each country), we appropriately disclose corporate information, such as JEOL's management policy, financial details, and the status of business activities.
Key points
  • We appropriately disclose corporate information to ensure sincere and transparent communication with our stakeholders and to fulfill our accountability to society.

  • We strive to earn the trust of society as an open company by proactively disclosing corporate information in a fair and transparent manner.

  • We eliminate inappropriate expressions and use fair and appropriate indications and expressions in accordance with social morals, public order, and good practices. We never use expressions that slander or libel other companies or their products, or terms that lead to social discrimination.

(2) Proper accounting

Code of conduct We carry out accounting accurately and appropriately in accordance with relevant laws and regulations, accounting standards, internal regulations, and expense processing procedures.
Key points
  • We eradicate illegal accounting to make corporate accounting transparent and sound without making false or fictitious reports or statements or building off-balance-sheet assets.

  • We comply with laws, regulations and standards related to accounting, record and store accounting information such as transactions, asset status, and expense usage in a timely and accurate manner, and conduct appropriate accounting procedures and prepare accounting reports.

  • We strive to maintain and improve our accounting system so that we can disclose accounting information promptly and accurately.

(3) Prevention of insider trading

Code of conduct In order to prevent insider trading, we comply with relevant laws and regulations and properly manage important information that has not been disclosed within the JEOL Group.
Key points
  • We take great care not to leak insider information to the outside world before it is officially released.

  • When purchasing or selling shares of JEOL, its affiliated companies, business partners, etc., we check in advance whether there is insider information that may affect investors' investment decisions. If any insider information is known, we do not buy or sell shares, bonds, etc. of JEOL, its affiliated companies, or business partners until the information is officially made public.

5. Relationships with Employees

(1) Respect for human rights

Code of conduct We respect human rights, recognize diversity, respect each other, and realize a healthy work environment where all employees can demonstrate their abilities.
Key points
  • We respect personality and individuality, and do not engage in any kind of discrimination or human rights violations that damage the dignity of individuals.

  • We respect the basic rights set forth in the Ten Principles of the United Nations Global Compact taking into account the laws and labor practices of each country and region.

  • We do not engage in any inhumane labor practices, such as forced labor and child labor.

  • We reject any form of harassment, and do not engage in any speech or behavior that offends others or that may be misconstrued as harassment by others or that worsens the working environment.

  • We respect diverse values and privacy from the standpoint of each individual and handle personal information appropriately.

(2) Safe work environment

Code of conduct We strive to create a workplace where each executive and employee can work with a sense of fulfillment, respect various ways of thinking and values, and work together to create a work environment where employees can fully demonstrate their abilities.
Key points
  • We are aware that maintaining and improving the health of our employees increases the value of our company, so we implement various measures as a company and our employees strive to maintain their health.

  • We support work-life balance between work and private life by realizing diverse work styles and enhancing various leave systems.

  • We respect the diverse qualities of each individual and always strive to make the best effort to improve ourselves.

  • We respect each other's duties, communicate sincerely with each other, and strive to foster an open-minded workplace culture without being bound by organizational barriers.

  • We place the highest priority on respect for human life, comply with laws, regulations, and rules related to labor, safety, and health, ensure the safety and health of the workplace, and strive to prevent the occurrence of occupational accidents.

(3) Protection of company property

Code of conduct We efficiently utilize and protect the tangible and intangible assets of JEOL, and we avoid engaging in acts that damage the value of these assets.
Key points
  • We use JEOL's assets for lawful and legitimate business purposes, follow all necessary procedures, and do not damage their value by using them for private or non-business purposes.

  • We utilize company assets effectively, recognize the need to keep them available at all times, and handle them appropriately to prevent damage or theft.

  • We do not provide any property benefits in relation to the exercise of the rights of specific shareholders.

  • JEOL's information systems are used only for business purposes approved by JEOL and not for personal purposes.

  • When disposing of assets, we handle them with care and follow the necessary procedures in accordance with relevant laws and regulations.

(4) Internal reporting system

Code of conduct If we discover any violations of laws and regulations, or become aware of any possibility of such violations, we report them immediately to ensure compliance with regulations.
Key points
  • In the event that we discover a violation of laws or regulations or become aware of any possibility of such violations, we promptly consult our superiors or relevant departments.

  • If it is not possible to report or consult with supervisors or related departments, we shall use the compliance reporting system.

  • In the event that any report is made to the internal reporting system, etc., JEOL investigates the facts and takes corrective and preventive measures as necessary.

  • JEOL and its officers and employees do not treat the person who made the report or their related parties detrimentally because of the report or consultation made, except in cases where the person has made a false report, a report that slanders others, or a report for other improper purposes.
